Terms & Conditions for SeshtaConnect

These Terms of Use ("Terms") describe the legally binding terms and conditions that govern your access to and use of the SeshtaConnect website and mobile application (the "Platform").

The Platform is a copyrighted work belonging to the SeshtaConnect Joint Venture (collectively, "Company," "we," "us," or "our") which includes Seshta Fusion Foods & Beverages, Aryavartha Media Network, Kriyash Foundation, and Netigalam Ngtv.

BY ACCESSING OR LOGGING INTO THE PLATFORM, YOU ARE COMPLYING WITH AND AGREEING TO BE BOUND BY THESE TERMS, AND YOU REPRESENT THAT YOU HAVE THE AUTHORITY AND CAPACITY TO ENTER INTO THIS AGREEMENT. YOU MUST BE AT LEAST 18 YEARS OF AGE TO ACCESS THE PLATFORM AS A PROFESSIONAL USER.

IF YOU DISAGREE WITH ANY PROVISION OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Access to the Platform

1.1. License Grant

Subject to these Terms, the Company grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Platform solely for your professional, non-commercial use as a verified member of the SeshtaConnect community.

1.2. Membership and Eligibility

Age Requirement: You must be at least 18 years of age to register and use the Platform.
Professional Integrity: You agree to provide only truthful and accurate professional information and credentials for your profile. Misrepresentation of identity or qualifications is a material breach of these Terms.
Verification: You acknowledge that the Platform may use third-party services and its Joint Venture Partners to verify your identity and credentials. Your continued access may depend on the successful completion of this verification process.

1.3. Certain Restrictions

The rights granted to you in these Terms are subject to the following restrictions. You should agree not to do the following:

(a) Sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform or its content without having written Approval from the authority.

(b) Change, modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Platform.

(d) Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Platform, except as expressly stated herein.

(e) Use the Platform to facilitate transactions involving real-world currency or monetary value based on the Merits System or other internal Platform features. Merits are strictly for utility and recognition within the Platform ecosystem and have no monetary value.

1.4. Platform Modification and Termination

The Company reserves the right to change, suspend, or cease the Platform (or any part of its functionality) with or without notice. You agree that the Company will not be liable to you or any third party for any change, interruption, or termination of the Platform.

1.5. Ownership of Intellectual Property

Excluding any User Content you provide, you acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Platform and its content are owned by the Company or its licensors/suppliers. These Terms do not transfer any rights, title, or interest in or to such intellectual property, except for the limited access license in Section 1.1.

2. User Content and Professional Conduct

2.1. User Content Responsibility

"User Content" means any and all information, text, posts, articles, comments, images, videos, professional documents, and other content that a user submits to or transmits through the Platform.

You are exclusively responsible for your User Content and bear all risks associated with its use, including any reliance on its accuracy by others.
You certify that your User Content does not violate any third-party rights, intellectual property rights, or our Acceptable Use Policy (Section 2.3).
The Company is not obliged to backup any User Content, and such content may be deleted at any time without prior notice.
The content posted should be user's own content. If any other person posts similar content, the first person's content will only be accepted.

2.2. License to Company

You hereby grant to the Company and its Joint Venture Partners a worldwide, irrevocable, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content solely for the purposes of operating, promoting, and improving the Platform and the services provided by the Joint Venture (e.g., certification, content curation, internal analytics). You irrevocably waive any claims of moral rights or attribution regarding your User Content to the extent permitted by law.

2.3. Acceptable Use Policy

You agree not to use the Platform to upload, transmit, display, or distribute any User Content or otherwise act in a manner that:

(a) Violates Law or Rights: Is unlawful, infringes any third-party right, including copyright, patent, trademark, trade secret, or privacy rights.

(b) Hateful or Harmful: Is harassing, abusive, torturous, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, fraudulent, intentionally misleading, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual.

(c) Professional Misconduct: Constitutes professional negligence, promotes unverified or dangerous health information, or disseminates false news/media ("fake news").

(d) System Interference: Distributes software intended to damage or alter a computer system or data, sends unauthorized advertising or spam, attempts to gain unauthorized access, or interferes with the Platform's servers or networks.

2.4. Merits System and Governance

The Platform may utilize an internal, non-monetary Merits System to track contributions, incentivize quality content, and grant certain governance rights (e.g., voting on feature changes) to highly engaged users.

Merits are non-transferable, have no cash value, and cannot be redeemed for real-world currency, goods, or services, except for specific internal Platform benefits explicitly offered by the Company.
The Company reserves the right to modify, revoke, or terminate the Merits System or any Merits earned at its sole discretion, with or without notice.

3. Indemnification

You agree to indemnify and hold the Company, its Joint Venture Partners, officers, employees, and agents harmless, including costs and attorney’s fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, or (d) your User Content, including claims of intellectual property infringement or defamation arising from your professional postings.

4. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. The Company and its suppliers expressly disclaim all warranties and conditions of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We and our suppliers make no guarantee that the Platform will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, free of viruses, or safe.

PROFESSIONAL CONTENT DISCLAIMER: The information and content available on the Platform in the News, Health, and Business verticals are provided for professional informational and networking purposes only. IT DOES NOT CONSTITUTE PROFESSIONAL ADVICE (E.G., MEDICAL, LEGAL, FINANCIAL). You acknowledge that reliance on any User Content or third-party content is at your own risk.

5. Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, in no event shall the Company or our suppliers be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from or relating to these Terms or your use of, or inability to use, the Platform. Access to and use of the Platform is at your own discretion and risk.

6. Term and Termination

Term: These Terms will remain in full force and effect while you use the Platform.
Termination by Company: We may suspend or terminate your rights to use the Platform at any time, including for any breach of these Terms, at our sole discretion.
Effect of Termination: Upon termination, your account and the right to access the Platform will cease immediately. Any termination may involve the deletion of your User Content. The Company will not be liable to you for any termination of your rights under these Terms.

7. Governing Law and Dispute Resolution

7.1. Governing Law

These Terms and any action related there to will be governed and interpreted by and under the laws of India, without giving effect to any principles that provide for the application of the law of another jurisdiction.

7.2. Mandatory Jurisdiction

Any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or the use of the Platform shall be settled by the courts located in [Insert City/State in India, e.g., Hyderabad, Telangana]. By agreeing to these Terms, you consent to the personal jurisdiction and venue of these courts.

7.3. Informal Resolution

Before initiating any formal legal action, you agree to first contact the Company’s Grievance Officer (contact details provided in the Privacy Policy) to attempt to resolve the dispute informally.

8. General Provisions

8.1. Entire Terms

These Terms constitute the entire agreement between you and us regarding the use of the Platform.

8.2. Electronic Communications

You consent to receive communications from the Company in an electronic form (via email or notices posted on the Platform). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in a hard copy writing.

8.3. Your Privacy

Please read our Privacy Policy, which is incorporated by reference into these Terms.

8.4. Copyright/Trademark Information

You are not permitted to use these Marks without our prior written consent or the consent of the respective third party owner.
